JOBJECTS QUESTAGENT LICENSE AGREEMENT
The following terms govern your use of the JObjects QuestAgent and accompanying documentation (the "Software") unless you have a separate written agreement with JObjects. By downloading, installing, or using the Software, you indicate your acceptance of the following License Agreement. This is a legal agreement between you (either an individual or an entity) and JObjects. If you do not accept and agree with all of the terms of this agreement, promptly delete any copies on your system(s).

SOFTWARE LICENSE
1. GRANT OF LICENSE.
This License Agreement grants you the following rights:

1.1. The royalty-free right to Use one copy of the Software on a single computer. "Use" means storing, loading, installing, executing or displaying the Software.

1.2. The royalty-free right to use only search utility feature of the Software in Web pages you create.

1.3. If you have purchased "Distribution License" for the Software:

1.3.1. The right to use the Software to create masters for replication and distribute only the search utility feature of the Software with CD-ROMs (or other content distribution medium) you publish, without further compensation to JObjects.

1.3.2. Total number of distributed copies may not exceed the number permitted by the purchased license. The distribution may be of unlimited titles.

2. LIMITED DISTRIBUTION RIGHTS.
Your royalty-free distribution rights described in Section 1.3 above are granted provided that you:

2.1. distribute the Software only in conjunction with and as an integral part of your Web pages, and distribute the Software only as an integral part of your end-user product;

2.2. you include a valid copyright notice on your Web pages and product; and

2.3. you agree to indemnify, hold harmless, and defend JObjects and its suppliers from and against any claims or lawsuits, including attorney's fees, that arise or result from the use or distribution of your Web pages and/or products.

3. OWNERSHIP AND COPYRIGHT.
The Software is owned and copyrighted by JObjects or its third party suppliers. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software. JObjects or its third party suppliers may protect their rights in the event of any violation of this License Agreement.

4. RESTRICTIONS.
4.1. You may not modify the Software or disable any licensing
or control features of the Software.

4.2 You may not remove or obscure JObjects internal copyright and trademark notices.

4.3. You may not rent, lease, or lend the Software.

4.4. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

4.5. Permit other individuals to use the Software except under the terms listed above.

5. COPIES AND ADAPTATIONS.
You may only make copies or adaptations of the Software for archival purposes or when copying or adaptation is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies or adaptations.

6. TRANSFER.
Your license will automatically terminate upon any transfer of the Software. Upon transfer, you must deliver the Software, including any copies and related documentation, to the transferee. The transferee must accept this License Agreement as a condition to the transfer.

7. TERMS AND TERMINATION.
7.1. The license will terminate automatically if you fail to comply with the limitations described herein. Upon termination of this License Agreement you agree to destroy all copies of the Software.

7.2. If you have purchased "Subscription License" for the Software: The Term of this License Agreement shall be one Subscription Year. "Subscription Year" means one year starting with the date of subscription and ending 12 calendar months later. Thereafter, unless this License Agreement is terminated prior to the expiration of the then-current Subscription Year, JObjects shall, upon your payment of then-current subscription fee(s), extend this License Agreement for successive Subscription Year terms.

8. MAINTENANCE AND SUPPORT.
8.1. For all support issues you may contact JObjects via email at support@jobjects.com.

8.2. JObjects has no obligation to provide maintenance or
support for the Unregistered Software.

8.3. JObjects will, as necessary, use its best efforts to identify, isolate and repair various imperfections, 'software bugs' or other software programming problems that may exist or become introduced into the Software.

8.4. If you have purchased "Subscription License" for the Software: Under the Term of this License Agreement, JObjects shall provide you with all software upgrades, including upgrades marked as the "major release", at no additional charge.

9. EXPORT REQUIREMENTS.
You may not export or re-export the Software or any copy or adaptation in violation of any applicable laws or regulations.

10. U.S. GOVERNMENT RESTRICTED RIGHTS.
The Software and documentation have been developed entirely at private expense and are provided as "Commercial Computer Software" or "restricted computer software". They are delivered and licensed as "commercial computer software" as defined in DFARS 252.227-7013 (Oct 1988), DFARS 252.211-7015 (May 1991) or DFARS 252.227-7014 (Jun 1995), as a "commercial item" as defined in FAR 2.101 (a), or as "Restricted computer software" as defined in FAR 52.227-19 (Jun 1987) (or any equivalent agency regulation or contract clause), whichever is applicable. You have only those rights provided for such Software and Documentation by the applicable FAR or DFARS clause or the JObjects standard software agreement for the product.

11. LIMITATION OF LIABILITY.
Under no circumstances and under no legal theory, tort, contract, or otherwise, shall JObjects or its suppliers or resellers be liable to you or any other person for any indirect, special, incidental, or consequential damages of any character including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses. In no event will JObjects be liable for any damages, even if JObjects shall have been informed of the possibility of such damages, or for any claim by any other party. This limitation of liability shall not apply to liability for death or personal injury to the extent applicable law prohibits such limitation. Furthermore, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation and exclusion may not apply to you.

You cannot use the Product on a multiple user arrangement unless you first obtain a network license from LWW. Using the Product on a single user computer via telephone access is permitted by this license.

PROPRIETARY RIGHTS
This PRODUCT is protected by copyright. No part of it may be reproduced, stored in a retrieval system, or transmitted, in any form or by any means - electronic, mechanical, photocopy, recording or otherwise-without the prior written consent of the publisher, except for brief quotations embodied in critical reviews or articles.

UPDATES
The compact disc, software, and manuals are the property of LWW. Previous copies of the software, disc, or manual are to be discarded upon your receipt of an updated version of same.

STANDING ORDER/CANCELLATIONS
Unless otherwise stated, LWW will consider all subscriptions to be standing orders. If a subscription is canceled, you must return all software, compact discs, and manuals to LWW.

GOVERNING LAW
The license is governed by the law of the State of Delaware.
